Terms of Service

1. Acceptance of Terms
By accessing or using ValidonX ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
ValidonX is a multi-tenant software licensing and activation platform that provides license key management, activation tracking, entitlement enforcement, and usage metering via API. Each customer ("Tenant") receives an isolated workspace with dedicated data storage.
3. Account Registration
- You must provide accurate, complete registration information
- You are responsible for maintaining the confidentiality of your credentials
- You must notify us immediately of any unauthorized access
- One person or entity per account; accounts are non-transferable
4. Subscription Plans & Billing
- Starter (Free): Subject to usage limits as described on the pricing page
- Pro ($49/month): Billed monthly via Stripe; auto-renews unless cancelled
- Enterprise (Custom): Custom pricing with separate agreement
You may cancel your subscription at any time. Access continues until the end of the current billing period. Refunds are handled per the refund policy below (Section 4a).
4a. Refund Policy
- Monthly subscriptions: If you cancel within 14 days of your initial subscription or a billing renewal, you may request a full refund for that billing period by contacting billing@validonx.com.
- After 14 days: No partial refunds are issued for the current billing period. Your access continues until the end of the paid period.
- Annual subscriptions: Refund requests within 30 days of purchase are eligible for a pro-rata refund of unused months. After 30 days, no refunds are issued.
- Free plan (Starter): No charges, no refunds applicable.
- Enterprise plans: Refund terms are governed by the individual service agreement.
- Service outages: If the Service experiences a material outage exceeding the SLA commitment (where applicable), affected customers may request a service credit. Contact support for details.
All refund requests should be directed to billing@validonx.com with your account email and reason for the request. Refunds are processed within 5-10 business days to the original payment method.
5. Data Ownership & Processing
- You retain ownership of all data you upload to the Service
- We process your data only to provide the Service, as described in our Privacy Policy
- Enterprise customers may request a Data Processing Agreement (DPA)
- Your tenant data is isolated in a dedicated database — other tenants cannot access it
6. API Usage & Rate Limits
- API usage is subject to the rate limits of your subscription plan
- Abuse, including circumventing rate limits, may result in suspension
- API keys are confidential — do not share secret keys publicly
7. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to access other tenants' data
- Reverse engineer, decompile, or disassemble the Service
- Resell or sublicense the Service without written permission
- Transmit malware, spam, or harmful content via the API
8. Service Level
We aim for high availability but do not guarantee specific uptime unless covered by a separate SLA agreement (Enterprise plans). Scheduled maintenance will be communicated in advance.
9. Account Termination
- You may delete your account at any time via the dashboard or by contacting support
- We may suspend or terminate accounts that violate these Terms
- Upon deletion, your data is retained for 30 days (grace period) then permanently removed
- A final backup is created before permanent deletion
10. Limitation of Liability
To the maximum extent permitted by law, ValidonX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
11. Changes to Terms
We reserve the right to modify these Terms. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect.
12. Governing Law
These Terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of New South Wales, Australia.

Data Processing Addendum (DPA)
Enterprise customers requiring a DPA should contact legal@validonx.com. Our standard DPA covers GDPR requirements including data security measures, sub-processor disclosure, breach notification (72 hours), and data subject rights support.
